    在进出口贸易中,卖方发盘后被买方还盘,但卖方并没有做出答复而

    无论是发盘还是还盘,都必须表示接受,否则容易引起争议,并使自己且处于被动和不利的地位。

    按照惯例,明确地表示接受则合同成立,或者在规定有效期内照做,也算合同成立——比如发盘中规定付款条件为开立信用证,而受盘人在发盘的有效期内将信用证开出,这也算合同成立,或者按照还盘发了货,那么算是合同成立。但是,只备货而没有发货,不能够算作合同成立。而且这种操作有问题,即对方不承认合同成立,且没有收款的把握,那么即便算是合同成立,对方不付款,你又奈何?而且国际贸易的官司不好打。
